1. Acceptance of Terms

By accessing or using Slyced (“the Service”), operated by Foam Internet (“we”, “our”, “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Slyced is a cap table management and equity administration platform that includes cap table tracking, virtual data room, e-signatures, fundraising CRM, scenario modeling, and 409A valuation estimates. The Service is available via slyced.com.

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access.

4. Data Ownership

You retain all ownership of and intellectual property rights in the data you enter into Slyced. We do not claim ownership of your cap table data, documents, or company information. You can export your data at any time in standard formats (CSV, PDF).

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service
• Upload malicious code or content
• Use the Service to store or transmit material that infringes on intellectual property rights

6. Payment Terms

Paid plans are billed in advance on a monthly or annual basis. Payments are processed through Stripe. You can cancel at any time and continue to use the Service until the end of your billing period. Refunds are handled on a case-by-case basis.

7. Disclaimer

Slyced provides tools for equity management and 409A valuation estimates. The Service is not a substitute for legal, tax, or financial advice. AI-generated 409A estimates are for informational purposes only and are not IRS-compliant valuations unless conducted through our certified third-party partners. Consult qualified professionals for legal and tax decisions.

8. Limitation of Liability

To the maximum extent permitted by law, Foam Internet shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising out of or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Termination

We may terminate or suspend your account if you violate these Terms. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately. We will provide reasonable time to export your data before deletion.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.
